Summary (not a substitute for the full Terms)
- You must be 18+ and able to contract.
- Serialoom provides AI-assisted tools to plan, generate, review, and export serialized audiovisual content. AI outputs can be wrong, non-unique, or legally risky — you must review before publishing.
- You own your original inputs (subject to others’ rights). Serialoom does not claim ownership of outputs generated for you, to the extent permitted by law and provider terms, but makes no copyrightability or non-infringement promise.
- Paid plans and Production Credit packs are sold by Paddle as Merchant of Record. Paddle’s Buyer Terms and Refund Policy apply to payment. Our service Terms cover software access and credits.
- Production Credits are not money, have no cash value, and are non-transferable.
- Voice and likeness features require lawful rights and consent. Unauthorized cloning or deepfakes are prohibited.
- We may suspend accounts for Acceptable Use violations, non-payment, or security risk.
1. Agreement and incorporated policies
By creating an account, clicking accept, or using Serialoom, you agree to these Terms and the incorporated policies (as updated):

If documents conflict: (a) mandatory law prevails; (b) for payment/tax/refund administration, Paddle’s buyer-facing terms prevail over Serialoom marketing copy; (c) otherwise these Terms prevail over supporting policies unless a supporting policy expressly says it controls for its subject.
Electronic acceptance is effective. We may keep versioned acceptance records (user id, document, version, time, locale, method, and limited technical evidence where lawful).
2. Eligibility
You must be at least 18 years old and legally capable of entering a binding contract. Serialoom is not directed to children.
If you use Serialoom for an organization, you represent you have authority to bind that organization. Workspace owners are responsible for members’ compliance.
3. Accounts and security
Provide accurate registration information. Keep credentials confidential. You are responsible for activity under your account unless you promptly notify us of unauthorized use after discovery. Do not sell or improperly share login credentials. We may require verification steps. Account recovery uses your registered email and our then-current process.
4. Workspaces and teams
Workspaces hold series, media, credits, and billing links. Roles include owner, admin, producer, editor, reviewer, and viewer (as implemented).
- The owner controls membership, billing actions available in-product, and destructive operations.
- Invitations create memberships when accepted.
- Workspace disputes (e.g., agency/client ownership) are between those parties; Serialoom may freeze or require joint instructions if rights are unclear.
- Removing a member may cut their access to workspace content immediately.
5. The service
Serialoom may include, depending on plan and entitlements:
- series and season planning, bibles, and continuity aids;
- AI-assisted writing and structuring;
- character and location management, including reference uploads;
- shot-level media generation (video, voice/TTS, text);
- review, timeline assembly, captions, render, and export;
- Production Credit metering, budgets, and collaboration features.
Features, models, limits, queues, and third-party providers may change. We may replace, throttle, or remove models or experimental features. Beta features are provided as-is and may be unreliable or withdrawn.
6. AI nature of the service
You acknowledge:
- Outputs may be inaccurate, incomplete, offensive, or inconsistent with prompts.
- Outputs may contain artifacts or fail technical quality checks.
- Outputs may resemble existing works, public figures, or other users’ outputs.
- Outputs may not be unique and may not qualify for copyright protection under applicable law.
- Safety filters and moderation do not guarantee lawful or non-infringing output.
- Serialoom does not provide legal clearance, talent clearance, platform ToS clearance, or music/publishing clearance.
- You must review outputs before publishing or commercial use and remain responsible for how you use them.
7. Your inputs and uploads
You represent and warrant that you have all rights, licenses, consents, and permissions needed to upload and process content, including scripts, images, audio, video, character references, voice materials, and personal data of any identifiable person — and that your use will not violate law or third-party rights.
You must not upload content you lack rights to use.
8. Ownership and licenses
8.1 Serialoom property
Serialoom and its licensors own the platform, software, UI, brand, documentation, and Serialoom-owned templates and systems. No transfer of that IP except the limited right to use the service under these Terms.
8.2 Your content
As between you and Serialoom, you retain ownership of your original inputs and project materials you create, subject to third-party rights and provider terms.
You grant Serialoom a worldwide, non-exclusive license to host, process, transmit, transform, moderate, render, back up, support, secure, and otherwise operate the service on your content, and to enforce these Terms. We do not take a broad marketing/promotional license in your private content unless you opt in to a separate showcase feature.
8.3 AI outputs
As between Serialoom and you, and only to the extent permitted by applicable law and applicable provider agreements, Serialoom does not claim ownership of model outputs generated for your workspace.
This does not mean outputs are copyrightable, exclusive, cleared for commercial use, or free of third-party rights. Provider terms may allocate or restrict rights. You remain responsible for clearance and use.
8.4 Feedback
If you give feedback, you grant Serialoom a royalty-free license to use it to improve the service without obligation to you.
9. Training and product improvement
Current product posture (subject to provider contracts):
- Serialoom does not train proprietary generative foundation models on your private workspace content without your explicit opt-in.
- Serialoom may use limited operational data, de-identified metrics, feedback, and necessary content samples for support, security, fraud prevention, debugging, and reliability.
- Third-party AI providers process prompts and media to generate results; their retention and training practices are governed by their terms and Serialoom’s account configuration. See the Privacy Policy and Subprocessor List.
10. Voice and likeness
You must not create or use synthetic voice or likeness of a real person without required authorization. See the Voice and Likeness Consent Policy. We may require proof of consent, block generations, remove content, or suspend accounts. Deceptive deepfakes, non-consensual intimate imagery, and unauthorized impersonation are prohibited.
11. Acceptable use
You must comply with the Acceptable Use Policy. We may use automated and human review, but we do not promise to monitor all content.
12. Subscriptions, credits, cancellations, refunds
Paid subscriptions and Production Credit purchases are processed by Paddle (Paddle.com Market Limited or affiliates) as Merchant of Record. Paddle sells the billing item, collects payment, calculates/collects applicable taxes, and issues invoices/receipts. Serialoom grants software entitlements and credits after verified successful payment (typically via webhooks — not browser callbacks alone).
Details are in the Subscription, Cancellation and Refund Policy and Production Credits Policy. Key points:
- Credits are internal usage units: not currency, stored value, or crypto; non-transferable; non-withdrawable.
- Included monthly / welcome / promotional credits carry expiration metadata as described in the Production Credits Policy; automatic expiry enforcement is a launch dependency and must match that Policy before you rely on it. Purchased credits do not expire while the account remains in good standing.
- Spend order: promotional/welcome (nearest expiry) → included monthly → purchased.
- Refunds and statutory withdrawal rights are administered under Paddle’s Refund Policy and mandatory law. Serialoom will not state that “all purchases are final” where law or Paddle policy provides otherwise.
- Cancel paid subscriptions through in-app billing (Paddle cancel at period end). Use the Paddle customer portal for payment methods and invoices.
13. Availability
We aim for reasonable availability but do not guarantee uninterrupted service. Provider outages, queues, maintenance, model removal, and storage failures may occur. Unless you purchase a separate written SLA, no uptime warranty applies. Backups have limits; do not treat Serialoom as your only archive.
14. Moderation and enforcement
We may block generation, remove or restrict content, limit features, suspend or terminate accounts, preserve evidence, and report illegal content to authorities where appropriate. Appeals may be offered where we choose or law requires. Cooperation with lawful process may occur.
15. Intellectual-property complaints
See the Copyright and Intellectual Property Complaint Policy. Serialoom has not verified registration of a U.S. DMCA designated agent. Do not assume DMCA safe-harbor registration until published.
16. Third-party services
AI providers, Paddle, hosting, and storage providers process data as needed to run features you use. Their availability and terms may affect the service. We do not control third parties. Where contractually required, additional provider restrictions may apply to your use of outputs.
17. Suspension and termination
You may stop using Serialoom and cancel paid subscriptions as described in the cancellation policy.
We may suspend or terminate for material breach, AUP violations, non-payment / chargeback abuse, legal risk, or security risk. Where reasonable and lawful, we may allow export of your content before deletion. Provisions that should survive (ownership, unpaid fees, disclaimers, liability limits, indemnity, governing law) survive termination.
18. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited.
Nothing in these Terms excludes liability for fraud, willful misconduct, death or personal injury caused by negligence where such exclusion is unlawful, or any other liability that cannot legally be limited.
19. Limitation of liability
Consumers. If you are a consumer, mandatory rights under Israeli law or your country of residence remain unaffected. Where liability can be limited, our aggregate liability for claims arising out of the service in any 12-month period is limited to the greater of (i) amounts you paid to Paddle for Serialoom entitlements in that period that relate to the claim, and (ii) [LIABILITY FLOOR AMOUNT — counsel] .
Business users. To the maximum extent permitted by law, Serialoom is not liable for indirect, incidental, special, consequential, lost profits, lost data, or business interruption damages. Aggregate liability in any 12-month period is limited to fees paid for the service in that period (or [BUSINESS FLOOR] if none).
These limits apply regardless of theory of liability, even if a remedy fails its essential purpose, except where prohibited.
20. Indemnification (organizational users)
If you use Serialoom for a business, agency, or studio, you will defend and indemnify Serialoom against third-party claims arising from your content, your violation of law or these Terms, or your failure to obtain required voice/likeness/privacy rights, except to the extent caused by Serialoom’s willful misconduct. We will not impose an overbroad indemnity on individual consumers beyond what is reasonably enforceable.
21. Governing law and disputes
These Terms are governed by the laws of Israel, without regard to conflict-of-law rules that would require another law, except that mandatory consumer protections of your country of residence remain available.
Subject to mandatory consumer jurisdiction rules, courts in Tel Aviv–Jaffa have jurisdiction. We encourage contacting support@[DOMAIN] first to resolve disputes informally.
We do not impose mandatory consumer arbitration or a class-action waiver in these Terms.
22. Changes
We may update these Terms. We will post a new version with an updated date. For material changes, we will provide additional notice (email or in-product) and may require renewed acceptance. Continued use after the effective date constitutes acceptance where permitted by law; if you do not agree, stop using the service and cancel paid subscriptions.
23. General
If a provision is unenforceable, the rest remains in effect. No waiver is implied by delay. You may not assign these Terms without our consent; we may assign to a successor. These Terms are the entire agreement regarding the service, subject to Paddle’s buyer terms for payment.
